Terms of Service

1. Acceptance of Terms
‍These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and Column UI LLC (“Company,” “we,” “our,” or “us”) governing your access to and use of our design system, website, products, and services (“Services”). By purchasing, downloading, or using Column UI, you agree to comply with these Terms. If you do not agree, you must not use the Services.

‍2. Eligibility
‍By accessing the Services, you represent that you are at least eighteen (18) years old or the age of majority in your jurisdiction, and that you have the legal capacity to enter into these Terms.

‍3. License Grant
‍a. Commercial License:
Upon purchase, Column UI LLC grants you a limited, non-exclusive, non-transferable, worldwide license to use our design system assets, including but not limited to Figma files, design tokens, templates, styles, and components (“Licensed Materials”).
‍
b. Permitted Uses:
You may use the Licensed Materials in unlimited client projects.
You may use the Licensed Materials in personal projects.
You may showcase the Licensed Materials as part of portfolio work, including case studies and presentations.
You may modify and adapt the Licensed Materials to fit your specific project needs.

c. Prohibited Uses:
You may not resell, sublicense, or distribute the Licensed Materials “as is” or in a way that competes directly with Column UI.
You may not claim ownership or authorship of the Licensed Materials in their original or substantially similar form.
You may not share, upload, or otherwise distribute the Licensed Materials on public repositories, file-sharing platforms, or marketplaces.

d. Resale Conditions:
The Licensed Materials may only be resold or redistributed if they are:
‍Significantly modified as part of a new product or system, or
Used as a small part of a much larger project or service where the Licensed Materials are not the primary value.

e. Ownership:
All rights, title, and interest in the Licensed Materials remain the sole property of Column UI LLC.

‍4. Payments and Refunds
‍a. Payments:
Fees for Column UI are displayed at the time of purchase and must be paid in full.
‍
b. Refunds:
Refunds are governed by our Refund Policy. Refund requests must be submitted within seven (7) calendar days of purchase. After this period, all payments are final and non-refundable.

‍5. Updates and Support
‍a. The Company may provide updates, improvements, or new components to the Licensed Materials. Access to updates may be subject to the plan you purchased.

b. Support is offered via our official support channels and is limited to troubleshooting and general guidance. We are not obligated to provide custom modifications or integration services.

‍6. Intellectual Property
‍All Licensed Materials, including but not limited to Figma files, templates, design tokens, and brand assets, are the intellectual property of Column UI LLC. Unauthorized reproduction, redistribution, or resale of these materials in violation of this Agreement is strictly prohibited and may result in legal action.

‍7. Third-Party Services
‍Our Services may integrate or link to third-party tools or platforms (such as Figma). We are not responsible for the terms, practices, or availability of these third-party services.

‍8. Disclaimers
‍a. The Services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the reliability, accuracy, or availability of the Services.

b. We do not guarantee that the Licensed Materials will meet your specific requirements or operate without error.

‍9. Limitation of Liability
‍To the maximum extent permitted by law, Column UI LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to your use of the Services. Our total liability shall not exceed the amount you paid for the Licensed Materials in the twelve (12) months preceding the claim.

‍10. Indemnification
‍You agree to indemnify, defend, and hold harmless Column UI LLC, its officers, employees, and affiliates from any claims, damages, or expenses arising out of your misuse of the Licensed Materials or violation of these Terms.

‍11. Termination
‍We reserve the right to suspend or terminate your license and access to the Services if you violate these Terms. Upon termination, you must immediately cease using the Licensed Materials.

‍12. Governing Law
‍These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law rules.

‍13. Amendments
‍We may update or modify these Terms at any time. Updates will be effective immediately upon posting with a revised “Date of last update.” Continued use of the Services after such changes constitutes acceptance of the revised Terms.
